License Agreement
This License Agreement (“Agreement”) is a legal agreement between you (“Licensee” or “You”) and One Design Solutions Pvt Ltd (“Company,” “We,” or “Us”) for the use of our software, products, or services (collectively, the “Licensed Materials”). By accessing, downloading, installing, or using any part of the Licensed Materials, you agree to be bound by the terms and conditions of this Agreement.
1. Grant of License
Subject to your compliance with the terms and conditions of this Agreement, One Design Solutions Pvt Ltd grants you a limited, non-exclusive, non-transferable, and revocable license to use the Licensed Materials for your personal or internal business purposes.
2. Restrictions
You shall not:
2.1. Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Licensed Materials.
2.2. Copy, reproduce, distribute, publicly display, or publicly perform any part of the Licensed Materials, except as expressly permitted by this Agreement.
2.3. Use the Licensed Materials for any unlawful purpose or in any manner that violates applicable laws or regulations.
2.4. Transfer, sublicense, or assign your rights under this Agreement to any third party without the Company’s prior written consent.
2.5. Remove or alter any proprietary notices, labels, or marks from the Licensed Materials.
3. Ownership
The Licensed Materials are and shall remain the exclusive property of One Design Solutions Pvt Ltd and its licensors. This Agreement does not convey any ownership rights to you.
4. Support and Updates
The Company may, at its sole discretion, provide updates, bug fixes, or support for the Licensed Materials. Such updates may be subject to additional terms and conditions.
5. Termination
This Agreement is effective until terminated by either party. Your rights under this Agreement will terminate automatically without notice from the Company if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the Licensed Materials and destroy any copies in your possession.
6. Disclaimer of Warranty
The Licensed Materials are provided “as-is” and without any warranties, whether express or implied. The Company disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use or inability to use the Licensed Materials.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflicts of law principles.
9. Entire Agreement
This Agreement constitutes the entire agreement between you and One Design Solutions Pvt Ltd regarding the Licensed Materials and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties.
By accessing, downloading, installing, or using the Licensed Materials, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms and conditions, you should not use the Licensed Materials.
